Master Supply Agreement

This Master Supply Agreement is made as of the Effective Date between the Company and Ardent Components Ltd, a company incorporated in England and Wales, together with its permitted successors and assigns (each a “Party”).
The Supplier shall provide the goods set out in Schedule 1 with reasonable skill and care and in accordance with the applicable Service Levels.
The initial term is thirty-six (36) months and renews automatically on 22 November 2026 unless either Party gives not less than ninety (90) days’ written notice prior to the end of the then-current term.
Each Party warrants that it has full authority to enter into this Agreement and that doing so does not conflict with any other agreement to which it is a party. Capitalised terms have the meanings given in Schedule 5.
4 · Charges
In consideration of the goods, the Customer shall pay fees of €680k per annum, invoiced quarterly in advance and payable within thirty (30) days of the invoice date.
All fees are exclusive of value added tax and any applicable withholding, which shall be borne by the Customer where required by law.
Fees are subject to annual indexation as set out in Schedule 2, and late payments accrue interest at four per cent (4%) above base rate.
The Customer may dispute an invoice in good faith within fifteen (15) Business Days, and the Parties shall resolve any dispute in accordance with clause 19.
11 · Governing Law
This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of England & Wales.
The Parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales in respect of any such dispute or claim.
Neither Party may assign, transfer or sub-contract this Agreement without the other’s prior written consent, such consent not to be unreasonably withheld.
No term of this Agreement is enforceable by any third party under the Contracts (Rights of Third Parties) Act 1999.
